The binding document

This page is a plain summary. The binding document is the organizer agreement: the master service agreement, annex (3) on technical support and service levels, and annex (4) on the TicketsNile platform for organizers, in the version shown as a file in the organizer dashboard. If this page and the agreement differ, the agreement prevails.

The Fees policy, the Prohibited content policy and the Data processing addendum also form part of our relationship.

Who may sell

  • Paid selling is limited to registered entities: a company, an establishment, or a registered club or association, with a commercial register (or equivalent) and a tax card.
  • Individuals may use the free plan for free private events only.
  • The entity contracts as a business for the purposes of its activity, not as a consumer.

Verification and activation

  1. Upload from your dashboard: the commercial register or equivalent, the tax card, proof of the signatory's identity and authority, and a power of attorney if the signatory is not the legal representative.
  2. Accept the agreement electronically, then print, sign and stamp it and upload a copy.
  3. Connect your own email address to the platform, so messages to your buyers come from your address. This is required before selling.
  4. Sales and ticket issuing open only after OMA reviews and approves the documents. You may prepare your events before that without selling.
  5. Deliver the signed and stamped paper original to OMA within 30 days of activation; otherwise sales may be suspended until it arrives.
  6. Update your details and documents within seven days of any change.

OMA's role

  • OMA is a technical provider only. It is not the event organizer, the ticket seller, or your agent.
  • The ticket sale contract is between you and the buyer only.
  • You collect ticket money through your own payment gateway or accounts; OMA does not collect or hold it. Your relationship with your payment provider is governed by your contract with that provider.

Your full responsibility for the event

You alone are responsible to buyers, attendees, third parties and every authority for everything related to your event, including:

  • holding it on the stated date and at the stated venue, as described;
  • safety and security, permitted capacity, first aid and emergency exits, and any harm occurring at or because of the venue;
  • obtaining, before sales open, every licence, permit and approval the law requires, and providing copies on request;
  • attendance conditions such as age and entry requirements, and insurance where needed;
  • your contracts with the venue, performers and suppliers;
  • accurate event details and prices, ticket validity and entry rules, checks at the gate, and scanning devices and internet at the venue.

We recommend downloading your attendee list before every event as a backup.

Public and private events

  • A public event is open to the public, such as concerts, shows, festivals and matches.
  • A private event is limited to people the organizer invites, such as a company event for its clients or staff, a professional conference, or a medical services company's event for doctors. Private events are not listed on the public events page or indexed by search engines.
  • A public event must not be labelled private to avoid a licence or tax. A "private" event sold to the public without restriction is treated as public.
  • Calling an event private, free or invitation-only does not exempt it from amusement tax where musical, singing, dance or entertainment performances are offered, under Law No. 24 of 1999 as amended.
  • At private events you must follow your sector's rules. For example, pharmaceutical, medical supply and medical service companies must follow the advertising and promotion rules of the Egyptian Drug Authority, the professional code of ethics, and continuing medical education accreditation rules where applicable.

Your audience and consumer rights

  • You are the "supplier" to your buyers under Consumer Protection Law No. 181 of 2018, and you are bound by it.
  • Before selling, show on each event page: your identity, commercial register and tax card, the price including taxes, the sale conditions, the refund policy and the withdrawal conditions. Confirm each purchase to the buyer in writing and keep a record of sales.
  • Your policy must, at a minimum, refund the ticket price if the event is cancelled, postponed by more than 90 days without an alternative date the buyer accepts, materially different from its description, or if a valid ticket holder is refused entry for reasons of organisation, capacity or safety. This is without prejudice to the buyer's right of withdrawal within the limits set by law.
  • Do not change your policy retroactively to the detriment of earlier buyers.
  • Answer buyer requests and complaints within five working days, and pay refunds you owe directly.
  • Inform buyers immediately of any cancellation or change, and update the event page.
  • Do not publish misleading information. OMA may correct or remove misleading listings, contact buyers directly, refer their complaints to you, and stop sales of an event that attracts many serious complaints.

Taxes and authorities

  • You alone are responsible for calculating, collecting and paying all taxes and fees on your tickets and events, including amusement tax, value added tax, stamp duty, and any local or government fees.
  • The platform is a technical tool for organising bookings and managing entry. Its tickets, codes and records are an organisational tool between you and your audience, and are not an official document before government bodies, including the Real Estate Tax Authority for amusement tax purposes.
  • You document your own tax dealings and meet whatever those bodies require, such as stamping or approving tickets, notifications or keeping records, in the form they accept, using platform data or other means. As a technical provider, OMA is not a party to this and is not answerable for it.
  • If OMA is asked to pay any tax or penalty because of your events, you must reimburse it in full within seven days of the claim.

Messages and email

  • All messages to your buyers are sent from your own email address. You are responsible for their content and for your mail settings. OMA is not liable if a message is not delivered because of those settings or your email provider.
  • Platform messages are transactional: tickets, confirmations, changes and reminders.
  • Marketing messages may be sent only to people who gave explicit prior consent. Each must show the sender's identity, state that it is marketing, and include a working unsubscribe link. Keep consent records for three years from the last message, under Articles 17 and 18 of the Personal Data Protection Law.

Your audience's data

  • You are the "controller" of your buyers' and attendees' data, and OMA is a "processor" acting on your instructions, under the Data processing addendum.
  • You need a legal basis for every processing, a privacy notice for your buyers that covers the transfer of data to the platform's servers outside Egypt, and the necessary consents.
  • Do not collect payment card data, sensitive data, or data of persons under 18 through the platform without the explicit written consent of the person or their guardian.
  • At private events, registration is not consent to marketing. Ask for separate consent with an unticked box. If you invite people from your own lists, you alone are responsible for having obtained their data lawfully.

Content and marks

  • You guarantee that you own, or are licensed to use, everything you publish, that it infringes no one's rights, and that it complies with the Prohibited content policy.
  • You grant OMA a non-exclusive, royalty-free licence, for the term of the agreement, to display your public events' content and your logo on the platform, promote them on the platform and on OMA's channels, and list you as a client. You may stop the client listing by written request.
  • Do not use the names "OMA" or "TicketsNile" or their marks, or imply partnership or sponsorship by them, without written permission.

Account and team

  • You are responsible for everything done by any user of your account, including team members and gate staff, unless it is shown to result from a security fault in the platform attributable to OMA.
  • Keep passwords secret, and enable two-factor authentication when available.
  • OMA follows the instructions of the organizer's legal representative only, given by official letter.

Suspension and termination

  • OMA may suspend sales or the account for material breach of the agreement, failure to provide permits, serious suspicion of fraud, a request from an authority, many serious complaints, or non-payment.
  • Suspension is by reasoned notice with three working days to fix the cause, except in urgent cases, on an authority's request, or in obvious fraud. If the cause proves unfounded, your balance validity is extended by the length of the suspension.
  • Tickets issued before suspension remain valid for entry, unless an authority requires otherwise or the event itself is fraudulent.
  • When the agreement ends you can download your data for 30 days; after that your buyers' data is deleted.
  • If the agreement ends because of your breach, OMA may recover from your unused balance any compensation or amounts proven to be owed to it.

Liability and indemnity

  • OMA provides the platform with reasonable professional care, without guaranteeing uninterrupted operation. It is not liable for an event's failure or weak sales, for internet or device failures at the venue, for failures of external providers, or for indirect loss.
  • OMA's maximum liability is the amount you paid it for the platform in the 12 months before the incident, or the value of the pack active at that time, whichever is greater. This limit does not apply to fraud or gross fault.
  • You indemnify and hold OMA harmless from any claim, penalty or cost arising from your events, content, messages, data processing, or breach of the agreement or the law. OMA may join you as a guarantor party in any lawsuit brought against it because of your events.
  • You cooperate with OMA on any complaint or official request about your events, and provide requested documents within 48 hours.

Disputes

  • Any dispute is heard by the courts of Alexandria, each according to its subject-matter jurisdiction, under Egyptian law.
  • "Muassasat" (Enterprise) organizers, or organizers with a special agreement, may agree with OMA in writing to arbitration under Arbitration Law No. 27 of 1994.
